01 Agreement to these terms

By creating an account, subscribing to a plan, or otherwise using Lumahflow (the “Service”), you agree to these Terms of Service and to our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these terms, and “you” refers to that business.

If you do not agree to these terms, do not use the Service.

02 What Lumahflow is

Lumahflow is software that helps coffee roasters manage roasting, inventory, wholesale pricing, orders, invoicing, and their café clients. CaféFlo is the café-facing side of the same platform, used by cafés to order from their roaster and manage their supply.

Lumahflow provides tools. We are not a coffee roaster, a café, a distributor, a bank, or a party to the wholesale transactions between roasters and cafés. Those business relationships are between you and your counterparties.

03 Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information and to keep it current. You are responsible for your account credentials and for all activity under your account. Notify us promptly at support@lumahflow.com if you suspect unauthorized access.

04 Subscriptions, trials and billing

Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. Some plans include a 14-day free trial; unless you cancel before the trial ends, your subscription converts to a paid plan automatically and your payment method is charged.

05 Payments between roasters and cafés

The Service lets roasters invoice cafés and, where enabled, accept payment via Stripe Connect (“LumahPay”). When a café pays a roaster through the Service, that payment is a transaction between the café and the roaster. Lumahflow facilitates the tooling and passes funds through Stripe; we are not the seller, buyer, or a party to the underlying sale, and we do not guarantee any transaction, delivery, or payment between users.

Roasters are responsible for their own pricing, tax handling, fulfillment, and any agreements with their cafés. Cafés are responsible for paying their roaster under whatever terms they have agreed.

06 Acceptable use

You agree not to:

07 Your data and content

You own the business data and content you put into the Service — your recipes, inventory, client list, orders, and invoices. You grant Lumahflow a limited license to host, process, and display that data solely to operate and improve the Service for you and, where relevant, to share it with the roaster or café you are connected to (for example, a café’s order is shared with its roaster). Our handling of personal data is described in the Privacy Policy.

08 Our intellectual property

The Service — including its software, design, branding, and the Lumahflow and CaféFlo names and logos — is owned by Lumahflow and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these terms. You may not use our branding without permission.

09 Third-party services

The Service relies on third parties including Stripe (payments), email delivery providers, and hosting/database providers. Your use of those services through Lumahflow may be subject to their terms. We are not responsible for third-party services, and their availability is outside our control.

10 Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements. Calculations, pricing suggestions, and reports are tools to assist you — you are responsible for verifying them before relying on them for business decisions.

11 Limitation of liability

To the maximum extent permitted by law, Lumahflow will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

12 Indemnification

You agree to indemnify and hold Lumahflow harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your data or content, your transactions with other users, or your violation of these terms or applicable law.

13 Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these terms, use the Service unlawfully, or create risk or legal exposure for us or other users. On termination, your right to use the Service ends; you may request an export of your data within a reasonable period before it is deleted, subject to legal retention requirements.

14 Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the revised terms.

15 Governing law

These terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. The courts located in Georgia will have jurisdiction over any dispute not otherwise subject to a binding alternative process, and you consent to that jurisdiction.
